These Terms of Service (“Terms”) govern your use of the websites, software, services, products, applications, communications, and other offerings provided by Kevin L. Colts, doing business as FlipSide Suites (“FlipSide Suites,” “we,” “us,” or “our”).

By accessing our website, submitting a form, creating or using an account, purchasing services, or otherwise using FlipSide Suites, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, do not use our services.


1. SMS Messaging Terms & Compliance

Program Description

FlipSide Suites may send text messages to individuals who have expressly opted in to receive SMS communications from us.

4. Accounts & User Access

Certain FlipSide Suites services require an account.

You agree to:

  • Keep account details current
  • Maintain the confidentiality of passwords and login credentials
  • Restrict access to authorized users
  • Notify us promptly if you suspect unauthorized account use

You are responsible for activity occurring under your account and for users you authorize.

Organizations are responsible for determining which officers, employees, volunteers, contractors, or other users should have access to their account.

5. Organizational Users & Permissions

Customer organizations may be able to create or authorize multiple users.

Different users may receive different levels of access.

The customer organization is responsible for:

  • Selecting appropriate users
  • Maintaining user permissions
  • Removing users who should no longer have access
  • Ensuring users comply with applicable laws and organizational policies
  • Protecting confidential or sensitive information

FlipSide Suites may assist with initial permissions and account configuration but does not control how customer organizations internally assign responsibilities after deployment unless separately agreed.


6. Customer Data

Customers may upload, enter, collect, or manage information through FlipSide Suites.

Customer data may include:

  • Member records
  • Contact information
  • Event registrations
  • Communications
  • Documents
  • Payment-related information
  • Inquiry records
  • Scholarship or program information
  • Other organizational data

As between FlipSide Suites and the customer, the customer remains responsible for determining whether it has the right and authority to collect, upload, store, and process that data.

Customers agree not to use FlipSide Suites to collect or process information unlawfully.


7. Customer Responsibility for Communications

Customers using FlipSide Suites for email, SMS, telephone, Voice AI, or other communications are responsible for:

  • Obtaining required consent
  • Maintaining appropriate opt-in records
  • Honoring opt-out requests
  • Complying with applicable communications laws
  • Following carrier and provider requirements
  • Avoiding spam, harassment, or deceptive communications

FlipSide Suites may suspend messaging capabilities when necessary to comply with carrier requirements, legal obligations, platform rules, or abuse-prevention policies.


8. Intellectual Property Rights

Our Rights

The FlipSide Suites website, branding, software configurations, designs, templates, workflows, documentation, training materials, written content, graphics, and other materials are owned by FlipSide Suites or used under license.

They are protected by applicable intellectual-property laws.

Except as expressly authorized, you may not:

  • Copy
  • Reproduce
  • Republish
  • Resell
  • Distribute
  • Modify
  • Reverse engineer
  • Create derivative products
  • Misrepresent ownership
  • Commercially exploit

FlipSide Suites materials without permission.

Limited License

Subject to these Terms and your active account, we grant you a limited, non-exclusive, non-transferable right to use FlipSide Suites services for your organization’s authorized purposes.

This license ends when your account or service terminates.


9. Content You Provide

You retain ownership of content you lawfully provide to FlipSide Suites.

By submitting content, you authorize us to use, store, display, transmit, process, and modify that content only as reasonably necessary to:

  • Perform support
  • Configure systems
  • Maintain backups
  • Improve service functionality

You represent that you have the necessary rights and permissions to provide that content.

  • Draft communications

AI-generated results may contain errors, omissions, or inaccuracies.

Customers remain responsible for reviewing AI-generated output before relying on it for:

  • Legal matters
  • Financial decisions
  • Medical matters
  • Membership eligibility
  • Scholarship decisions
  • Contractual commitments
  • Public communications
  • Other consequential decisions

AI-generated content should not be treated as professional legal, financial, tax, medical, or other regulated advice.


11. Third-Party Services & Integrations

FlipSide Suites may integrate with or rely upon third-party providers, including:

  • Payment processors
  • Telecommunications providers
  • Email providers
  • CRM infrastructure
  • AI providers
  • Social-media platforms
  • Domain registrars
  • Hosting providers

Third-party usage charges, such as telecommunications, email, AI, payment-processing, or other metered services, may be billed separately depending on the customer’s plan.


13. Refunds & Cancellations

Refund and cancellation terms may vary depending on:

  • Custom work
  • Third-party charges
  • Promotional offers
  • Contract terms

Any specific refund or cancellation policy disclosed at purchase will control over this general section.

Unless otherwise stated in writing, fees already earned for completed setup work, custom configuration, third-party services, or usage-based charges may be non-refundable.


14. Acceptable Use

You may not use FlipSide Suites to:

  • Violate applicable law
  • Send unlawful spam
  • Harass or threaten individuals
  • Impersonate others
  • Commit fraud
  • Distribute malware

We may suspend or terminate access for violations.


15. Youth & Sensitive Information

Some customer organizations may use FlipSide Suites for youth, scholarship, educational, or community programs.

Customers are responsible for:

  • Determining applicable legal requirements
  • Obtaining required parental or guardian consent
  • Limiting access to sensitive information
  • Configuring appropriate user permissions
  • Avoiding collection of unnecessary sensitive data

FlipSide Suites does not independently determine whether a customer is legally permitted to collect particular youth-related information.


16. Online Commerce

FlipSide Suites services may include links or connections to third-party vendors and payment providers.

Purchases involving third-party providers may also be subject to the third party’s terms.

FlipSide Suites is not responsible for the quality, accuracy, availability, or performance of products or services sold directly by unrelated third parties.


17. Disclaimers

FlipSide Suites services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

We do not guarantee that services will:

  • Always be available
  • Be uninterrupted
  • Be error-free
  • Meet every customer requirement
  • Produce specific financial, operational, membership, fundraising, or marketing results

We disclaim warranties to the extent permitted by applicable law, including implied warranties of merchantability and fitness for a particular purpose.


18. Limitation of Liability

To the fullest extent permitted by law, FlipSide Suites will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use our services.

This may include loss of:

  • Revenue
  • Data
  • Business opportunities
  • Communications
  • Membership records
  • Reputation
  • Profits

Nothing in these Terms excludes liability that cannot legally be excluded.


19. Indemnification

You agree to indemnify and hold harmless FlipSide Suites, its owner, contractors, service providers, representatives, and affiliates from claims, damages, liabilities, costs, and expenses arising from:

  • Your violation of these Terms
  • Your unlawful use of the services
  • Content or data you provide
  • Your organization’s communications
  • Your violation of third-party rights
  • Your failure to obtain required consent

20. Suspension & Termination

We may suspend or terminate access if we reasonably determine that:

  • These Terms have been violated
  • Payment obligations are overdue
  • The account is being used unlawfully
  • A security risk exists
  • Abuse or fraud is suspected
  • Continued service would violate provider rules or applicable law

Customers may also discontinue service according to the cancellation terms applicable to their account.

Upon termination, access to certain features may cease.

Customers should export information they are entitled to retain before termination where export functionality is available.


21. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.


22. Changes to These Terms

We may revise these Terms from time to time.

The latest version will be posted on our website with the effective date.

Continued use of FlipSide Suites after updated Terms become effective constitutes acceptance of the revised Terms.
